Platform Terms & Conditions
Effective Date: 01/06/2026
These Platform Terms & Conditions ("Terms") govern the supply of Platform Services, software, subscriptions, purchased hardware, installation services and professional services by Creative Media Holdings Limited ("CMG", "we", "our" or "us").
By placing an order, paying an invoice, accepting an online quotation, activating a Platform Service, creating an account or continuing to use the Platform, you agree to these Terms.
Where applicable, separate agreements including Hardware Rental Agreements, Enterprise Agreements, Data Processing Agreements or Service Schedules shall also apply.
1. Definitions
- Platform means the Creative Media cloud and edge computing platform through which Artificial Intelligence, Intelligent Broadcast Audio, dashboards, analytics, hosted services and associated technologies are delivered.
- Platform Services means all software, hosted services, Artificial Intelligence, Intelligent Broadcast Audio, dashboards, analytics, remote management, updates and support supplied through the Platform.
- Platform Modules means software applications made available through the Platform including, but not limited to, RaiD10 DataCube™, ICECube™, Evidence Vault™, AgeSense™, operational communications, reporting, analytics and future modules.
- Subscription means the recurring licence to access Platform Services.
- Purchased Hardware means hardware sold outright.
- Rental Hardware means hardware supplied under a separate Hardware Rental Agreement.
- Customer means the organisation or individual purchasing Products or Platform Services.
2. Contract Formation
A legally binding contract is formed when CMG:
- accepts an order;
- issues an invoice;
- accepts payment;
- confirms an online purchase;
- dispatches goods;
- activates Platform Services.
CMG reserves the right to refuse any order before acceptance.
3. Products & Services
CMG may supply:
- Platform Activation
- Platform Subscriptions
- Artificial Intelligence Services
- Intelligent Broadcast Audio
- Platform Modules
- Dashboard Services
- Purchased Hardware
- Installation Services
- Professional Services
- Consultancy
- Managed Services
- Future Platform Products
Availability may vary.
4. Platform Activation
Platform Activation initiates deployment of the ordered Platform.
Activation may include:
- hardware preparation
- registration
- quality assurance
- onboarding
- deployment
- account creation
- software provisioning
Platform Activation does not include ownership of Rental Hardware.
5. Hardware
Hardware supplied by CMG may be:
- Purchased Hardware
- Rental Hardware
Purchased Hardware transfers to the Customer when paid in full unless otherwise agreed.
Rental Hardware remains subject to the applicable Hardware Rental Agreement.
CMG may substitute equivalent or higher specification equipment where reasonably necessary, provided the supplied equipment offers substantially equivalent or improved functionality.
6. Installation
Installation may be:
- Engineer Installation
- Plug & Play
- Remote Deployment
The Customer shall provide:
- safe access
- electrical power
- broadband connectivity
- compatible infrastructure
- any required third-party credentials
Additional labour, travel or materials outside the agreed scope may be chargeable.
7. Technical Requirements
Platform performance depends upon suitable infrastructure.
Depending upon the products ordered, Customers shall provide:
- compatible networking
- suitable internet connectivity
- compatible CCTV
- compatible audio infrastructure
- suitable environmental conditions
- uninterrupted electrical power
Failure to satisfy minimum requirements may:
- delay deployment;
- prevent activation;
- reduce performance; or
- require additional work.
8. Platform Services
Platform Services may include:
- Artificial Intelligence
- Intelligent Broadcast Audio
- Dashboards
- Reporting
- Analytics
- Remote Monitoring
- Remote Management
- Software Updates
- Hosted Services
- Future Platform Modules
Platform functionality may evolve without affecting these Terms.
9. Platform Subscriptions
Subscriptions provide access to Platform Services.
Unless otherwise agreed:
- subscriptions are recurring;
- subscriptions continue until cancelled;
- subscriptions may be suspended where payment is overdue.
Suspension of Platform Services does not affect any separate Hardware Rental Agreement.
10. Platform Modules
Platform Modules may be introduced, withdrawn, enhanced or replaced as the Platform evolves.
Availability depends upon the Customer's Subscription.
Future Platform Modules may be made available without requiring amendment to these Terms.
11. Intelligent Broadcast Audio
Broadcast services may include:
- scheduled music
- promotional messaging
- emergency announcements
- operational communications
- campaign delivery
- branded audio
Music licensing remains the Customer's responsibility unless expressly included.
Broadcast schedules and content may change.
12. Artificial Intelligence
Artificial Intelligence services provide decision-support and operational assistance.
CMG does not guarantee:
- detection of every event;
- prevention of theft;
- uninterrupted operation;
- compatibility with unsupported third-party equipment.
Performance depends upon deployment conditions.
13. Customer Responsibilities
The Customer shall:
- provide accurate onboarding information;
- maintain compatible infrastructure;
- maintain internet connectivity;
- maintain authorised system access;
- protect account credentials;
- cooperate with support;
- notify CMG before changing connected systems.
Failure to do so may affect Platform performance.
14. Support
Support is provided during published support hours unless otherwise agreed.
CMG may use remote diagnostics to investigate reported faults.
Customers should report issues promptly using authorised support channels.
15. Warranty
Manufacturer warranties apply where available.
Warranty services may include:
- repair;
- replacement;
- remote diagnosis;
- software updates.
Warranty does not cover:
- accidental damage;
- misuse;
- unsupported modifications;
- third-party systems;
- customer infrastructure.
16. Returns & Refunds
Unless otherwise required by law:
- Platform Activation Payments are non-refundable once processing has commenced.
- Purchased Hardware is non-returnable following delivery except where defective.
- Installation, onboarding, configuration and Professional Services are non-refundable once commenced.
- Subscription fees are non-refundable once billed.
Failure to meet technical requirements, complete onboarding or maintain compatible infrastructure does not create any entitlement to a refund.
17. Intellectual Property
All Platform software, Artificial Intelligence, Platform Modules, dashboards, broadcast systems, documentation, analytics, branding and associated Intellectual Property remain the property of CMG or its licensors.
Customers receive only a limited licence to use subscribed Platform Services.
No ownership of Intellectual Property transfers to the Customer.
18. Platform Compatibility
Platform products are designed to operate as part of the Creative Media Platform ecosystem.
CMG may improve software, deployment methods, hardware specifications or Platform architecture provided overall functionality is maintained or improved.
Product descriptions are illustrative and do not guarantee the continued supply of any particular manufacturer or hardware model.
19. Suspension & Termination
CMG may suspend or terminate Platform Services where:
- payments are overdue;
- these Terms are breached;
- security is compromised;
- unauthorised access occurs;
- continued operation presents operational, legal or regulatory risk.
Suspension does not remove the Customer's obligation to pay sums already due.
20. Limitation of Liability
Nothing in these Terms excludes liability which cannot lawfully be excluded.
Subject to applicable law, CMG shall not be liable for:
- indirect loss;
- consequential loss;
- loss of profit;
- business interruption;
- loss arising from third-party products or services.
CMG's aggregate liability shall not exceed the amount paid by the Customer for the relevant Product or Platform Service during the twelve months preceding the claim.
21. General
These Terms constitute the entire agreement relating to the supply of Platform Services unless expressly varied in writing.
If any provision is held unenforceable, the remaining provisions shall remain effective.
CMG may update these Terms from time to time. Updated versions shall apply to future orders and, where legally permitted, to continuing Platform Services from the date of publication.
These Terms are governed by the laws of Scotland. The parties submit to the exclusive jurisdiction of the Scottish Courts.
